Dan Shamgar

Dan Shamgar is one of the leading members of Meitar’s Corporate and Securities Group, and is an internationally recognized corporate and securities attorney. Dan’s practice focuses on mergers and acquisitions, corporate finance, private equity and general corporate law. Dan has extensive experience in structuring and leading cross border transactions, representing both domestic and multinational corporations. Dan advises senior management of publicly traded and private companies in crisis and strategic decision making situations and provides counseling on corporate governance, shareholder affairs and securities matters. Dan represents issuers and underwriters in public offerings in the US and in the UK and represents private equity funds in their formation and in their investment activities.

  • $200 million acquisition of Dune Networks, a networking switching silicon provider, by Broadcom.
  • $190 million cash and equity acquisition of Coppergate, a provider of IPTV solutions, by Sigma Design.
  • Acquisition of Followap, a venture backed company that provides instant messaging solutions for cellular operators, by NueStar for $140 million in cash.
  • Purchase by Viola Partners and Ofer Hi-Tech of a controlling stake in Lumenis, an Israeli public company and a leading provider of laser machines for medical and aesthetic purposes, in the framework of a $150 million private placement and a related bank debt restructuring.
  • Acquisition of the Israeli cable business of the Aurec Group and SBC Communications, by a consortium of domestic operators, for $600 million in cash.
  • $80 million acquisition of OptiSystems, an optimization software provider, by BMC Software, that constituted the first merger transaction under the Israeli Companies Law.
  • Acquisition of Galileo Technologies, an Israeli NASDAQ traded chip manufacturer, by Marvell, for $2.7 billion in stock.
  • Acquisition of Tecnomatix Technologies, an Israeli NASDAQ traded company providing software for manufacturing process planning, by UGS for $230 million in cash.
  • Acquisition of Buzzmetrics, an Israeli provider of Internet usage analysis solutions, by The Nielsen Group for $110 million in cash.
  • Acquisition of a controlling stake in Formula Systems, a leading IT provider in Israel traded in Israel and on NASDAQ, by Emblaze, a public company traded on the London Stock Exchange.
  • Acquisition of the military and intelligence related business of Ectel, an Israeli NASDAQ traded company, by Verint for $35 million in cash, and the subsequent acquisition of Ectel by cVidya Networks for $21 million in cash.
  • Acquisition of Oshap Technologies, an Israeli NASDAQ traded company that held controlling interests in a number of providers of enterprise software, by SunGard for $220 million in cash and stock.
  • Acquisition of Orca Interactive, an Israeli provider of IPTV solutions traded on AIM in London, by a subsidiary of France Telecom, the first merger of an Israeli AIM traded company.
  • Acquisition of Golden Pages, the leading publisher in Israel of yellow page directories, by Markstone Capital Partners for an undisclosed amount.
  • Acquisition of the assets of Finjan Software, a security software provider, by M86 Security, in an all stock transaction.
  • Acquisition of Tradeum, an Internet trading company, by VerticalNet for $480 million in stock.
  • Acquisition of Golden Lines, a leading provider of international calling services, by Telecom Italia for an undisclosed amount.


Examples of debt and equity public offerings on NASDAQ in which Dan advised the issuer or the underwriters include those of Amdocs, Ceragon, NICE Systems, Tecnomatix Technologies, Floware Technologies, Radware, Metalink and Radvision, all of which are technology companies. Offerings on the London Stock Exchange and the AIM include offerings of Leadcom Integrated Solutions, an Israeli company that constructs infrastructure for cellular networks, Adamind, a provider of cellular software solutions and QLI, an operator of casino sites.
Representative private equity transactions include the formation of funds such as Viola Private Equity, Magma Communications Fund I and II and Plenus Mezzanine. Dan advises various funds in their investment activities, including Viola Private Equity, Carmel Ventures, Pitango Venture Capital, Markstone Capital Partners, Magma Communications, Plenus, VPartners, Cedar Fund, Beresheit, Ofer Hi-Tech, Arts Alliance, and various other domestic, US and European funds. Dan also represents private early stage companies in the technology sector in their various stages of evolution with respect to their ongoing corporate and commercial matters.
Dan lectures in various forums on matters relating to mergers and acquisitions and capital markets and leads a number of committees within the firm.
