Shira Azran

Shira Azran is a partner in the Corporate and Securities Group.  She represents corporations in a wide range of international and domestic corporate and commercial transactions, including mergers and acquisitions, public and private debt and equity financings, securitizations and venture capital investments. In addition, Shira provides ongoing legal advice regarding corporate and commercial matters to both publicly and privately held companies.

Representative experience:
  • Representation of Amdocs (NYSE: DOX), a leading provider of customer experience and billing systems, in its $45 million acquisition of Jacobs Rimell (UK); and its $275 million acquisition of Qpass.
  • Representation of Ashmore, in its $1.25 billion leveraged acquisition (together with Swarth Group) of ECI Telecom (NASDAQ:ECIL) and the financing arrangements for this transaction.
  • Representation of Euler Hermes (of the Allianz Group), a leading credit insurer and provider of credit insurance management services, in its purchase of one third of the holdings of The Israeli Credit Insurance Company, partnering with Harel Insurance Investments & Finances and Bituach Haklai Central Cooperative Society.
  • Representation of Medcon (TASE:MDCN), a global provider of web-based cardiac image and information management, in its $105 million acquisition by McKesson Corporation (NYSE:MCK).
  • Representation of Tecnomatix Technologies (NASDAQ:TCNO), a provider of software for manufacturing process planning, in its $230 million acquisition by UGS, and the acquisition by Tecnomatix of all assets of USDATA (Texas, USA) in consideration for shares and cash.
  • Representation of Riverhead Networks, acquired by Cisco Systems for $39 million, in its ongoing and financing affairs, and Sheer Networks Inc. in its $97 million acquisition by Cisco Systems.
  • Representation of the Aurec Group in its sale to Markstone Capital Partners of Golden Pages, the publisher of Israel’s yellow page directories.
  • Representation of Orca Interactive (listed on AIM London Stock Exchange), a provider of IPTV solutions, in its $21 million acquisition by France Telecom subsidiary, Viaccess.
  • Representation of Euro Globe in the purchase of a shell company listed on the TASE, involving the purchase of a controlling interest, sale of the company’s prior activity, a scheme of arrangement under court approval, and a private placement.

Private equity:
  • Representation of LM Partners L.P. of Viola Partners (formerly, the Dovrat Group) and Ofer Hi-Tech in their $150 million private placement in Lumenis, a provider of laser machines for various medical and aesthetic purposes, and a related restructuring of debt owed to Bank Hapoalim.
  • Representation of venture-backed companies, in venture capital and venture lending transactions as well as ongoing legal advice on corporate and commercial matters, including: Prime Sense, a  provider of three dimensional view to digital devices, Resolute Networks, a provider of sub-system and OEM solutions for Circuit Emulation Services (CES) applications (acquired by BATM Advanced Communications); Illuminator, a developer of enterprise application recovery software solutions (acquired by EMC (NYSE: EMC)); Followap, a provider of instant messaging solutions for cellular operators (acquired by Neustar (NYSE: NSR)); MagniFire Networks, a provider of security related software (acquired by F-5 Networks, Inc. (NASDAQ:  FFIV)).
  • Representation of venture capital funds in investments and debt financing transactions including Carmel Venture Funds and Viola Partners.

  • Representation of non-profit organizations, including: The Ran Naor Foundation for the Advancement of Road Safety Research Ltd. (established by the Or Yarok Association), and Project Sunshine Israel, a nonprofit organization that provides free educational, recreational, and social programs to children facing medical challenges and their families.
